It is a three letter acronym that has insignificant meaning to English critics (since it does not suggest any idea at all at first glance), yet a golden opportunity for investors in raising the working capital of their business. وهو الإسم المختصر ثلاثة الرسالة التي يستهان بها معنى النقاد الى الانكليزيه (اذ انه لا يعني على الاطلاق اي فكرة للوهله الاولى) ، ومع ذلك فرصة ذهبية للمستثمرين في رفع رأس المال العامل من اعمالهم. What is IPO, its attributes, and its implication to the business community (Investors have the interest to the subject; never mind the English critics)? ما هو الاكتتاب العام ، وخاصياته ، واثارة لمجتمع الاعمال التجارية (للمستثمرين من مصلحة لهذا الموضوع ؛ ابدا اعتبارها الانجليزيه النقاد)؟

IPO is commonly known within the walls of the business community as “initial public offering”. الاكتتاب العام هو معلوم من داخل جدران مجتمع الاعمال "تقديم العامة الاولية". At first glance, you will not have any idea of what it means, and what it is for. للوهله الاولى ، انت لن يكون لها اي فكرة عما يعنيه ، وما هو عليه ل. The English critics are right: IPO or even initial public offering does not suggest anything of importance to the English grammar. باللغه الانكليزيه النقاد على حق : الاكتتاب العام او حتى تقديم العامة الاولية لا تشير الى اي شيء من الاهميه بالنسبة لقواعد اللغة الانجليزيه. However, we are not talking about grammar here. ومع ذلك ، نحن لا نتكلم عن القواعد هنا. We are talking about BUSINESS and CAPITAL. اننا نتحدث عن الاعمال التجارية ورؤوس الأموال.

Initial public offering refers to the initial sale of a company’s common stocks to the public. العامة الاولية تشير الى تقدم الاولى من بيع اسهم الشركة على الجمهور. When you say “initial sale”, it is the first sale of the common stocks. عندما تقول "الاولى لبيع" ، وهي اول من بيع اسهم عادية. Therefore, any later sale of common stocks after the IPO process will now be referred to as a secondary market offering. وبالتالي ، فإن اي مشترك في وقت لاحق من بيع الاسهم بعد عملية الاكتتاب العام وسوف يشار اليها الآن باسم سوق ثانويه تقدم. What are the attributes of IPO? ما هي الصفات المميزه للالاكتتاب العام؟ Let us take a look on the lingo that is used when company goes public: ولنلق نظرة على رطانه التي تستخدم عندما يذهب الشركة العامة :

• Underwriters- these individuals or groups does not “write under the paper’ or any literal meaning. • - وكلاء هؤلاء الأفراد أو الجماعات لا "في اطار ورقة الكتابة او اي بالمعنى الحرفي. In IPO, it refers to a group of investment banks that will offer the common stocks for sale on interested investors. في الاكتتاب العام ، وهو يشير إلى مجموعة من البنوك الاستثمارية التي سوف تقدم على اسهم للبيع على المستثمرين المهتمين.

• Syndicate- definitely, there are no criminals involved in the process. • النقابة - بالتأكيد ، لا توجد المجرمين المتورطين في هذه العملية. Syndicate here refers to a group of major investment banks that underwrite the IPO of multinational companies. نقابه هنا يشير الى مجموعة من البنوك الاستثمارية الكبرى التي تتعهد الاكتتاب العام لشركات متعددة الجنسيات. In other words, “syndicate” and “underwriters” refers to the same group of investment banks. وبعباره اخرى ، "النقابة" و "المؤمنين" للدلالة على نفس المجموعة من البنوك الاستثمارية العالمية. The only difference is the former underwrites large IPOs while the latter underwrites small and medium-sized IPOs. والفارق الوحيد هو السابق ويتعهد كبير مكاتب الملكيه الفكريه في حين ان الاخيرة ويتعهد الصغيرة والمتوسطة الحجم مكاتب الملكيه الفكريه.

• Securities Act of 1993- this Act serves as the governing rules and regulation of IPO process. • قانون الاوراق المالية لعام 1993 -- هذا القانون بمثابة القواعد التي تحكم وتنظيم عملية الاكتتاب العام. It is also known as the “Truth in Securities Act” which has two primary objectives: (1) the investors must receive financial and other essential information concerning securities being offered for sale to the public, and (2) rule out deceit, misinterpretations, and other forms of fraud in the public sale of such securities. ومن المعروف ايضا باسم "لجنة الحقيقة في قانون الأوراق المالية" التي هدفان أساسيان : (1) يجب ان يحصل المستثمرون والمالية وغيرها من المعلومات الضروريه المتعلقة الأوراق المالية المعروضة للبيع الى الجمهور ، و (2) يستبعد الخداع ، وسوء الفهم ، وغير ذلك من أشكال الغش في بيع علني لهذه الأوراق المالية.

• Prospectus- it contains the overview of the company’s history, finances, industry background, and other related information. • نشره - وهو يتضمن لمحة عامة عن تاريخ الشركة ، والتمويل ، والصناعة الاساسية ، وغيرها من المعلومات ذات الصلة. The US Securities and Exchange Commission (SEC) is tasked to scrutinize every IPO prospectus that will be attached on every offer of common stock for sale. الولايات المتحدة جنة الاوراق المالية والبورصه (الفرع) بمهمه التدقيق في كل نشرة الاكتتاب العام التي سوف يعلق على العرض المقدم من كل الجوانب المشتركة للبيع.

• Gun-Jumping- no Beretta jumps around the process. • بندقيه - القفز - لا بيريتا يقفز حول هذه العملية. It refers to the prohibition applied to the issuer (the company that sells common stocks) and underwriters regarding any kind of public offering. وهو يشير الى حظر تنطبق على المصدر (الشركة التي تبيع أسهم عادية) والمؤمنين من اي نوع فيما يتعلق بتقديم العامة.

• Free Riding- it refers to the stocks offered to the public for sale through various ways. • ركوب الحرة - وهو يشير الى مخزون عرضت على الجمهور للبيع عن طريق بطرق مختلفة. This is the period where the underwriters will now be on function. وهذه هي الفترة التي سيتم الان المؤمنين على وظيفة.

Understanding the initial public offering lingo will definitely help you appreciate it. فهم العامة الاولية التي تقدم رطانه سوف يساعد لكم التقدير.
