It is a three letter acronym that has insignificant meaning to English critics (since it does not suggest any idea at all at first glance), yet a golden opportunity for investors in raising the working capital of their business. É uma sigla que tem três letras insignificantes significado para os críticos Inglês (uma vez que não sugerir qualquer idéia de todo, à primeira vista), ainda uma oportunidade de ouro para os investidores em capital de trabalho para elevar o seu negócio. What is IPO, its attributes, and its implication to the business community (Investors have the interest to the subject; never mind the English critics)? O que é o IPO, os seus atributos, e suas implicações para a comunidade empresarial (os investidores têm interesse para o tema, nunca mente os críticos Inglês)?

IPO is commonly known within the walls of the business community as “initial public offering”. IPO é vulgarmente conhecido no interior das muralhas da comunidade empresarial como "oferta pública inicial". At first glance, you will not have any idea of what it means, and what it is for. The English critics are right: IPO or even initial public offering does not suggest anything of importance to the English grammar. Initial public offering refers to the initial sale of a company’s common stocks to the public. Oferta pública inicial remete para a primeira venda de uma empresa comum da existências para o público. When you say “initial sale”, it is the first sale of the common stocks. Quando você diz "primeira venda", é a primeira venda das unidades populacionais comuns. Therefore, any later sale of common stocks after the IPO process will now be referred to as a secondary market offering. • Underwriters- these individuals or groups does not “write under the paper’ or any literal meaning. • Underwriters-estes indivíduos ou grupos não "escrever sob o papel 'ou qualquer sentido literal. In IPO, it refers to a group of investment banks that will offer the common stocks for sale on interested investors. No IPO, remete para um grupo de bancos de investimento que irá oferecer os recursos comuns para a venda a investidores interessados.

• Syndicate- definitely, there are no criminals involved in the process. • Syndicate-Definitivamente, não há criminosos envolvidos no processo. Syndicate here refers to a group of major investment banks that underwrite the IPO of multinational companies. Syndicate aqui refere-se a um grupo de grandes investimentos bancos que subscrever o IPO de empresas multinacionais. In other words, “syndicate” and “underwriters” refers to the same group of investment banks. Em outras palavras, "sindicato" e "subscritores" refere-se ao mesmo grupo de bancos de investimento. The only difference is the former underwrites large IPOs while the latter underwrites small and medium-sized IPOs. • Securities Act of 1993- this Act serves as the governing rules and regulation of IPO process. • Securities Act de 1993 - presente lei serve como as regras que regem e de regulação do IPO processo. It is also known as the “Truth in Securities Act” which has two primary objectives: (1) the investors must receive financial and other essential information concerning securities being offered for sale to the public, and (2) rule out deceit, misinterpretations, and other forms of fraud in the public sale of such securities. Também é conhecida como a "Verdade na Securities Act", que tem dois objectivos principais: (1) os investidores devem receber financeiros e outras informações essenciais relativas aos valores mobiliários a ser oferecidos para venda ao público, e (2) exclui dolo, interpretações erradas, e outras formas de fraude na venda pública de tais valores mobiliários.

• Prospectus- it contains the overview of the company’s history, finances, industry background, and other related information. • Prospecto-que contém a visão geral da história da empresa, finanças, indústria de fundo, e outras informações relacionadas. The US Securities and Exchange Commission (SEC) is tasked to scrutinize every IPO prospectus that will be attached on every offer of common stock for sale. Os E.U. Securities and Exchange Commission (SEC) está encarregada de fiscalizar todos os IPO prospecto, que será anexado a cada oferta de ações comuns para a venda.

• Gun-Jumping- no Beretta jumps around the process. • Gun-Saltos-não Beretta saltos em torno do processo. It refers to the prohibition applied to the issuer (the company that sells common stocks) and underwriters regarding any kind of public offering. • Free Riding- it refers to the stocks offered to the public for sale through various ways. • Free Riding-refere-se aos recursos oferecidos para venda ao público através de diversas formas. This is the period where the underwriters will now be on function. Este é o período em que os subscritores será agora a funcionar.

So the next time you will come across the term IPO, you already know what it is and you will be able to understand news concerning the IPO process.
